Terms of Service

Welcome to JimEllisGuitar.com (“we,” “us,” or “our”), owned and operated by Hampstead Guitar, LLC. These Terms of Service (“Terms”) govern your access to and use of the website located at jimellisguitar.com, including all content, features, and services offered through it (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. About the Services

JimEllisGuitar.com provides professional audio and video production services operated by Jim Ellis. The Services include, but are not limited to, audio mixing, audio mastering, tracking and remote recording (guitar, bass, ukulele, and other instruments), video and livestream consultations, and live music performance services for private events, corporate functions, and other engagements. The specific scope, deliverables, timeline, and pricing for any project or engagement are determined on a per-project basis through direct communication between you and Jim Ellis.

2. Eligibility

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, to engage the Services or enter into any agreement with us. By using the Services or submitting a project inquiry, you represent and warrant that you meet this eligibility requirement and have the legal capacity to enter into a binding agreement.

3. Project Engagements and Scope of Work

3.1 Project Agreements

All audio production, recording, mixing, mastering, consultation, and performance engagements are undertaken on the basis of terms agreed upon between you and Jim Ellis prior to the commencement of work. These terms may be communicated via email, written proposal, or other documented correspondence and shall form a binding agreement between the parties. Any such project-specific agreement is supplemental to and governed by these Terms.

3.2 Revisions and Modifications

Unless otherwise specified in a project agreement, a reasonable number of revisions are included with mixing and mastering services. Additional revisions beyond the agreed scope may be subject to additional fees. Any changes to the scope of work, deliverables, or timeline after a project has commenced must be agreed upon in writing by both parties.

3.3 Client Responsibilities

You are responsible for providing all necessary materials (audio files, reference tracks, project notes, specifications, and any other relevant assets) in a timely manner and in the formats requested. Delays in providing materials may result in corresponding delays in project completion. You represent and warrant that you have all necessary rights, licenses, and permissions to provide any materials submitted for use in connection with the Services.

4. Live Performance Services

Live music performance engagements are subject to terms agreed upon between you and Jim Ellis, including but not limited to date, time, location, duration, repertoire preferences, compensation, and any technical or logistical requirements. Cancellation terms, including any applicable cancellation fees or deposit forfeiture provisions, will be specified in the applicable performance agreement. In the event of cancellation by the client with insufficient notice as defined in the performance agreement, any deposit paid may be non-refundable.

5. Consultation Services

Video and livestream consultation sessions are scheduled by appointment. Consultation fees and session duration are as agreed upon at the time of booking. Consultations are for informational and educational purposes and do not constitute a guarantee of specific outcomes. Rescheduling or cancellation policies will be communicated at the time of booking.

6. Payments and Pricing

6.1 Pricing

All prices for Services are quoted in U.S. dollars and are subject to change. Pricing for specific projects or engagements will be communicated and agreed upon before work begins. Published rates on the website, if any, are subject to change without notice and may vary based on project complexity and requirements.

6.2 Payment Terms

Payment terms, including any required deposits, milestone payments, and final payment due dates, will be specified in the applicable project or performance agreement. Unless otherwise agreed, payment is due upon completion and delivery of the final product or service. Late payments may be subject to additional fees or suspension of work.

6.3 Refunds

Due to the custom nature of the Services, refunds are generally not available once work has commenced. Refund eligibility, if any, will be addressed on a case-by-case basis and specified in the applicable project agreement. Deposits for live performances and consultations are subject to the cancellation terms of the applicable agreement.

7. Intellectual Property and Ownership

7.1 Client Materials

You retain all ownership rights in any original materials you provide to us in connection with a project, including your original recordings, compositions, lyrics, and other creative works. By providing materials to us, you grant Hampstead Guitar, LLC a limited, non-exclusive license to use such materials solely for the purpose of performing the agreed-upon Services.

7.2 Deliverables

Unless otherwise agreed in writing, upon full payment for the Services, you will own the final deliverables produced specifically for your project (such as mixed or mastered audio files, or recorded instrument tracks). Hampstead Guitar, LLC retains the right to use samples, excerpts, or descriptions of the work performed for portfolio, promotional, and demonstration purposes, unless you request otherwise in writing prior to the commencement of work.

7.3 Website Content

All content on the JimEllisGuitar.com website, including but not limited to text, graphics, images, audio and video recordings, logos, and design elements, is the property of Hampstead Guitar, LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any website content without prior written consent.

7.4 Live Performance Recordings

Audio or video recording of live performances by attendees or the client is permitted only with the prior written consent of Jim Ellis. Any authorized recordings are for personal, non-commercial use only unless otherwise agreed in writing.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of a project engagement. This includes, but is not limited to, unreleased recordings, compositions, business information, and project details. Neither party shall disclose such information to third parties without the prior written consent of the other party, except as required by law.

9. Use of the Website

You agree to use the website only for lawful purposes and in accordance with these Terms. You may not use the website in any way that could damage, disable, or impair the website or interfere with any other party’s use of the website. You may not attempt to gain unauthorized access to any part of the website, any accounts, or any systems or networks connected to the website. You may not use any automated tools, bots, or scrapers to access or extract content from the website.

10. Third-Party Services and Links

The website may contain links to third-party websites, platforms, or services, including but not limited to YouTube, social media platforms, booking platforms, and payment processors. Your use of any third-party service is subject to that third party’s own terms and privacy policies. We are not responsible for the content, availability, or practices of any third-party service and are not liable for any loss or damage arising from your use of such services.

11. Disclaimer of Warranties

THE SERVICES AND THE WEBSITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HAMPSTEAD GUITAR, LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT (A) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS; (B) THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR (C) THE RESULTS OBTAINED THROUGH THE SERVICES WILL ACHIEVE ANY PARTICULAR OUTCOME. CONSULTATION AND EDUCATIONAL CONTENT PROVIDED THROUGH THE SERVICES IS FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL ADVICE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HAMPSTEAD GUITAR, LLC, ITS OWNER, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES OR THE WEBSITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES EXCEED THE TOTAL AMOUNT YOU PAID TO HAMPSTEAD GUITAR, LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless Hampstead Guitar, LLC, its owner, affiliates, and agents from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use or misuse of the Services or the website, (b) your violation of these Terms, (c) your violation of any third party’s rights, including intellectual property rights, (d) any materials you provide in connection with the Services, or (e) any breach of your representations or warranties under these Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved exclusively in the state or federal courts located in Carroll County, Maryland, or the United States District Court for the District of Maryland, and you consent to the personal jurisdiction of such courts. Before filing any claim, you agree to first contact us at jim@jimellisguitar.com and attempt to resolve the dispute informally for at least thirty (30) days.

15. Modifications to the Services

Hampstead Guitar, LLC reserves the right to modify, suspend, or discontinue any part of the Services or the website at any time, with or without notice. This includes adding, changing, or removing service offerings, pricing, content, or features. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.

16. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will update the “Last Updated” date at the top of these Terms. Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Services.

17. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.

18. Entire Agreement

These Terms, together with any project-specific agreements and any other agreements or policies referenced herein, constitute the entire agreement between you and Hampstead Guitar, LLC regarding your use of the website and the Services, and supersede all prior agreements, understandings, and communications, whether written or oral. In the event of any conflict between these Terms and a project-specific agreement, the project-specific agreement shall control with respect to the subject matter of that project.

19. No Waiver

The failure of Hampstead Guitar, LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Hampstead Guitar, LLC.
